A strong pitch opens the door, but the data room and your follow-up decide whether an interested investor actually wires the money. At seed stage the biggest risk after a good meeting is lost momentum: warm interest cools quickly, and a slow or messy due diligence process is one of the most common reasons a promising lead goes quiet. Treat the weeks after the meeting as part of the pitch itself.

What goes in a seed data room

A data room is simply an organised, shared folder (a well-structured Google Drive or Notion works fine at seed) that lets an investor verify your claims quickly. A seed data room usually holds a few dozen documents, and full due diligence after a term sheet typically runs about four to eight weeks. Organise it into clear folders:

  • Corporate: Certificate of Incorporation, MOA and AOA, your SPICe+ incorporation filings, and all board and shareholder resolutions.
  • Cap table: a current and historical cap table showing every allotment, transfer and ESOP grant, reconciled to your MCA filings (Form PAS-3 for allotments, Form MGT-7 annual return). A cap table that does not match your MCA records is one of the most common reasons a deal stalls.
  • Founders and IP: the founders' agreement with vesting, plus a signed IP assignment from every founder and early contributor. A co-founder who built core technology but never assigned the IP is the single most common post-term-sheet deal-breaker.
  • Financials: a simple model, bank statements, GST registration and returns, and evidence of TDS compliance.
  • ESOP and contracts: the ESOP scheme document and grant letters, plus key customer, vendor and employment agreements.

Do not over-share at first contact. Open a lightweight version early, then unlock full financials as interest firms up.

Get the India compliance right

Two facts remove a lot of seed-stage anxiety. First, angel tax under Section 56(2)(viib) of the Income Tax Act was abolished by the Finance Act 2024 with effect from 1 April 2025, so share premium above fair market value is no longer taxed, for any investor, resident or non-resident. Second, if you take money from any foreign investor, your company must file Form FC-GPR on the RBI FIRMS portal through your Authorised Dealer bank within 30 days of allotting the shares. Missing that deadline triggers a Late Submission Fee, so plan the filing before you close.

If you are DPIIT-recognised, keep the certificate in the data room. It also opens a parallel non-dilutive track: under the Startup India Seed Fund Scheme (SISFS), a DPIIT-recognised company incorporated not more than two years ago can apply through an approved incubator for a grant of up to Rs. 20 lakh for proof of concept, and up to Rs. 50 lakh as debt or convertible debentures for market entry and scaling.

Follow up to keep momentum

  • Send a crisp thank-you within 24 hours with the exact next step and anything you promised.
  • Share the data-room link only after there is real interest, and grant view access, not edit.
  • Set a rhythm: a short update every two to three weeks with one number that moved (revenue, users, a signed contract). Momentum shown, not claimed, is what converts a maybe.
  • Answer diligence questions the same day where you can. Speed signals that the company is well run.
  • Be honest about other conversations without bluffing. A genuine, gentle deadline is fine; a fabricated one damages trust.

From interest to a term sheet

A term sheet is the lead investor's written offer covering valuation, amount, instrument and key rights. Most of it is non-binding, but the confidentiality and exclusivity (no-shop) clauses usually are, so read them before you sign. Focus your negotiation on the terms that compound: valuation and dilution, the ESOP pool and whether it is created pre-money or post-money, liquidation preference, and board and information rights. Once signed, the clock starts on that four-to-eight-week diligence, and the clean data room you prepared is exactly what lets you close on time.
