Pernia’s Pop-Up Shop Parent Purple Style Labs Files ₹680 Crore IPO RHP

Purple Style Labs, the parent company of luxury fashion platform Pernia’s Pop-Up Shop, has filed its Red Herring Prospectus (RHP) for a ₹680 crore initial public offering (IPO). The company has increased the proposed issue size by ₹20 crore from the earlier plan.

The IPO will be entirely a fresh issue of equity shares, with no offer-for-sale component. The issue is scheduled to open for subscription on August 31 and close on September 2, while anchor investors can bid on August 28.

The public issue will mark Purple Style Labs’ debut on the stock market as the company looks to strengthen its physical retail network and support its luxury fashion business.

What Happened?

Purple Style Labs has increased its IPO size to ₹680 crore from the previously proposed ₹660 crore. The company had filed its draft IPO papers with the Securities and Exchange Board of India (SEBI) in September 2025 and received regulatory approval in January 2026.

The IPO proceeds will primarily be used by the company’s wholly owned subsidiary, PSL Retail. Purple Style Labs plans to deploy ₹371.13 crore towards lease liabilities for its experience centres and back-end offices in India.

Another ₹138.90 crore has been earmarked for sales and marketing expenses through FY30. The remaining funds will be used for general corporate purposes.

Since receiving SEBI approval, the company has also raised ₹162 crore in debt through multiple tranches, according to the RHP filing details reported on August 25.

Key Details of the ₹680 Crore IPO

Purple Style Labs’ issue is structured entirely as a fresh share sale. This means the ₹680 crore raised through the IPO will go into the company rather than being used to provide an exit to existing shareholders through an offer-for-sale component.

The company currently operates 12 experience centres and two back-end offices in India, with the planned IPO spending focused significantly on meeting lease-related obligations across this network.

Pernia’s Pop-Up Shop has also built a large digital luxury fashion marketplace. Recent company information indicates that the platform offers more than 2 lakh products from over 1,300 designers through its online platform and physical experience centres.

The IPO comes after a period of rapid expansion for the business. Purple Style Labs’ revenue increased from ₹45 crore in FY20 to ₹508 crore in FY24, representing an annualised growth rate of roughly 83% over the period.

However, the company remains loss-making. FY25 financial data shows revenue of around ₹494 crore and a net loss of approximately ₹188 crore, highlighting the importance of improving operating efficiency as the company expands.

Company Background

Purple Style Labs was founded in 2015 and operates in the luxury fashion and e-commerce space. Its flagship business, Pernia’s Pop-Up Shop, is a multi-brand platform focused on designer, wedding and occasion wear.

The company acquired Pernia’s Pop-Up Shop in February 2018, when the business was primarily online. It subsequently expanded into physical retail through experience centres and studios.

The company has expanded its physical presence beyond India as well. Its retail network includes locations such as the Pernia’s Pop-Up Studio in Mumbai and an outlet on Madison Avenue in New York.

Purple Style Labs is promoted by Abhishek Agarwal, who held a 27.10% stake according to information reported ahead of the IPO. The company is also backed by institutional investors, family offices and private investors, with publicly disclosed celebrity investors including Shah Rukh Khan, Salman Khan and his family, Sachin Tendulkar, Madhuri Dixit and Mahesh Babu.

Why This Matters

The IPO comes as India’s luxury fashion and wedding-wear markets continue to expand. Purple Style Labs is attempting to combine digital discovery with physical stores, giving customers access to designer collections through both online and offline channels.

The company’s planned spending also shows the capital-intensive nature of its offline expansion. More than half of the IPO proceeds are earmarked for lease liabilities, while a further ₹138.90 crore will support sales and marketing activities.

For investors, the IPO will offer exposure to an emerging listed player in India’s premium fashion and luxury retail segment. At the same time, the company’s losses mean that its ability to convert its growing revenue base into sustainable profitability will remain an important consideration.

Industry Impact

India’s wedding and luxury consumption markets have become increasingly attractive to premium fashion businesses. Industry estimates cited in reports ahead of the IPO put the country’s wedding industry at more than ₹10 lakh crore, while the wedding-wear market is projected to reach ₹3.4 lakh crore by FY30. India’s personal luxury market is also expected to reach ₹2.31 lakh crore.

This growth is encouraging luxury fashion companies to invest in stronger retail networks, designer partnerships and digital platforms. Pernia’s Pop-Up Shop’s combination of more than 1,300 designers, online sales and physical experience centres positions it within this broader shift toward premiumisation.

For designers, such platforms can provide a wider distribution network, while consumers get access to multiple luxury labels through a single marketplace. Competition, however, is expected to remain strong as established luxury retailers and digital-first fashion platforms expand their presence.

Future Plans

Purple Style Labs plans to use the IPO capital to support its existing experience-centre network, meet lease obligations and increase sales and marketing spending through FY30. The company’s expansion strategy also includes strengthening its retail footprint in key luxury markets.

The company’s public-market debut will therefore be closely watched as it attempts to scale its luxury fashion platform while improving financial performance. The balance between retail expansion, customer acquisition costs and profitability will be central to its next phase of growth.

Conclusion

The ₹680 crore IPO marks a major milestone for Purple Style Labs and Pernia’s Pop-Up Shop as the luxury fashion company prepares to enter the public markets. The increased issue size will provide additional capital for lease obligations, marketing and corporate requirements.

With a large designer network and growing presence across online and physical retail, the company is entering the market at a time when India’s luxury and wedding-wear sectors are expanding. Its ability to turn this growth into sustainable profitability will be a key factor in determining the long-term success of the Purple Style Labs IPO.
